Terms of Service

These Terms govern your use of Yardstick, the desktop software, and the yardstickhome.com website and services (together, the “Service”). Yardstick is a product of North Lakes Consulting, LLC (“we,” “us,” or “our”). By downloading, installing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

By using the Service, you represent that you are at least 18 years old and legally capable of entering into a binding contract. If you are using the Service on behalf of a business or other organization, you represent that you have the authority to bind that organization to these Terms.

2. License to use the software

Yardstick is licensed, not sold. Subject to these Terms and, where applicable, an active subscription, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Yardstick software for your own use with the Yarbo robots you own or operate.

Your subscription covers unlimited Yarbo robots and cores. Your license is for installation on a single computer. This license does not permit you to:

  • Install or use the software on more than one computer under a single license;
  • Resell, sublicense, rent, lease, or offer the software as a service to third parties;
  • Copy or distribute the software except as needed for your own installation and backups;
  • Reverse engineer, decompile, or disassemble the software, except to the extent that applicable law expressly permits despite this limitation;
  • Remove or alter any proprietary notices, or circumvent license verification.

3. Accounts and license keys

Some features require a license key or an account. You agree to provide accurate information, to keep your license key and any credentials secure, and to accept responsibility for activity under your key or account. Notify us promptly if you believe your key or account has been compromised. We may suspend or revoke a license key that we reasonably believe is being shared, resold, or used in violation of these Terms.

4. Trial, subscription and billing

Yardstick is offered on a subscription basis with a free trial:

  • Free trial. A 30-day free trial with full features and no payment card required. If you do not subscribe, paid features simply stop at the end of the trial.
  • Subscription. After the trial, a subscription is $4.95 per month or $29.95 per year, in U.S. dollars. Prices include all features and updates while your subscription is active.
  • Recurring charges. By subscribing, you authorize us and our payment processor, Helcim, to charge your payment method on a recurring basis at the interval you choose, until you cancel. Your subscription renews automatically at the end of each billing period.
  • Price changes. We may change subscription prices. We will give you notice before a change affects you, and the new price will apply from your next renewal.

We accept payment through our third-party payment processor, Helcim. By providing payment information, you represent that you are authorized to use the payment method.

5. Cancellation and refunds

You may cancel at any time from your account or by contacting us. Cancellation takes effect at the end of the current billing period, and you keep access until then. We do not provide prorated refunds for the unused part of a billing period.

30-day money-back guarantee. Because there is a full free trial, we generally treat sales as final. Even so, if you are not satisfied, contact us within 30 days of your first payment and we will refund that payment. If something on our side is not working as described, we will always work with you to make it right.

Because Yardstick depends on access to your robot that the robot manufacturer controls (see Section 9), a change or loss of that access is outside our control. If it occurs, it is not grounds for a refund, including any prorated refund for the remainder of a billing period. You can, of course, cancel at any time to stop future charges.

6. Your data and your robot

Yardstick is designed to run on your own network and to keep your data on your own machine. The recordings, maps, areas, and telemetry that Yardstick collects from your robot are stored locally on the computer where you run it. We do not receive or store that data. How we handle the limited information the Service does collect (such as a license check and optional diagnostics) is described in our Privacy Policy.

You are responsible for your own installation, including backups and the security of the computer and network where you run Yardstick. Yardstick can send commands to your robot (for example, to start a plan or send it to the dock). You are responsible for operating your robot safely and in accordance with the robot manufacturer’s instructions and all applicable laws.

6.1 Your environment and its security are your responsibility

You are solely responsible for the security, configuration, and upkeep of your computer, your network, and any access you choose to enable to Yardstick. That includes your firewall, router, and operating-system settings, your passwords, and any decision to make Yardstick reachable beyond your local network, such as opening or forwarding a port or exposing it to the internet. Doing so is at your own risk.

To the fullest extent permitted by law, we are not responsible for, and disclaim all liability for, any loss, damage, data loss or corruption, deletion of settings, downtime, or unauthorized access that results from your environment or matters outside our reasonable control, including your network or computer configuration, your security choices, hardware failures, power or internet outages, or third-party access you enabled or failed to prevent. Keeping backups and controlling who can reach the software and your robot is up to you.

6.2 Scope of support

Our support covers Yardstick itself: installing it, using its features, and questions about how it works. It does not extend to designing, configuring, or troubleshooting your home or business network, your router, firewall, VLANs, VPNs, or other infrastructure. Network setups vary widely, and keeping yours working is your responsibility. If a change you make to your network affects Yardstick, we will make reasonable efforts to help you get it talking to your robot again, but we cannot act as your general network or IT support and cannot guarantee a resolution.

7. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
  • Interfere with, disrupt, or attempt to gain unauthorized access to the Service, our systems, or another user’s installation;
  • Use the Service to operate a robot in a manner that is unsafe or that endangers people, animals, or property;
  • Introduce malware, or use robots, scrapers, or similar tools to harvest data from our website;
  • Reproduce, resell, or commercially exploit any part of the Service except as these Terms allow.

8. Intellectual property

The Yardstick software, the yardstickhome.com website, and all related content, including text, graphics, logos, and design, are the property of North Lakes Consulting, LLC or its licensors and are protected by United States and international copyright, trademark, and other laws. “Yardstick” and our logo are trademarks of North Lakes Consulting, LLC. You may not use our trademarks without our prior written permission. All rights not expressly granted to you are reserved.

9. Yarbo and third parties

Yardstick is an independent product. It is not affiliated with, endorsed by, or sponsored by Yarbo Inc. “Yarbo” and related marks are the property of their respective owners and are used only to describe compatibility. Yardstick reads your robot’s own telemetry over your local network; it depends on interfaces we do not control, and a change by the robot manufacturer may affect what Yardstick can read or do. Our website and communications may link to third-party services (such as a payment processor); we are not responsible for those third parties’ terms or practices.

9.1 Platform access and the open-platform risk

Yardstick works by reading your robot over local interfaces that the robot manufacturer currently makes available. That access is controlled entirely by the manufacturer, who is independent of us. If the manufacturer limits, changes, or ends open local access, some or all of Yardstick’s features may stop working, whether soon after you subscribe or later on. If that happens, we will make reasonable efforts to work with the manufacturer to restore access, but we cannot promise or guarantee that access will be restored or that the platform will remain open. This is an inherent limitation of building on a third-party platform, and it is a risk you accept in using Yardstick.

10. Updates and availability

We may release updates that add, change, or remove features, and we may do so to keep pace with changes to the robots Yardstick supports. We aim to keep the download and license services available, but we do not guarantee uninterrupted availability. Because your license is verified in a way that tolerates brief outages, a short interruption on our side should not stop you from using software you have already installed.

11. Disclaimer of warranties

The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet your expectations, or that any figure it reports is accurate for any particular purpose. You rely on the Service, and on any action you take with your robot based on it, at your own risk.

12. Limitation of liability

To the fullest extent permitted by law, in no event shall North Lakes Consulting, LLC or its officers, members, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or property, or for damage to a robot, arising out of or related to your use of the Service.

Our total liability for any claim arising out of or related to these Terms or the Service shall not exceed the greater of the amount you paid us for the Service in the twelve months before the claim, or fifty U.S. dollars ($50).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless North Lakes Consulting, LLC and its officers, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your operation of a robot, or your violation of these Terms or of any third party’s rights.

14. Governing law and disputes

14.1 Governing law

These Terms are governed by the laws of the State of Wisconsin, without regard to its conflict of law provisions.

14.2 Binding arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. Arbitration shall take place in Wisconsin or another mutually agreed location. The arbitrator’s decision is final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

14.3 Class action waiver

You and North Lakes Consulting, LLC agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative action.

14.4 Exceptions

Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property rights.

14.5 Opt-out

You may opt out of the arbitration and class-action-waiver provisions by sending written notice to [email protected] within 30 days of your first use of the Service. Your notice must include your name and a clear statement that you wish to opt out.

15. Changes to these Terms

We may modify these Terms from time to time. Changes are effective when posted, and we will update the “Last updated” date above. If a change is material, we will make reasonable efforts to notify you. Your continued use of the Service after a change takes effect means you accept the revised Terms.

16. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access, or a license key, if you breach these Terms or use the Service in a way that harms us or another user. On termination, the license granted to you ends, though data already stored on your own machine remains yours.

17. General

Severability. If any provision of these Terms is found unenforceable, the rest remains in effect. Waiver. Our failure to enforce a provision is not a waiver of it. Entire agreement. These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding the Service and supersede any prior agreements. Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
